The following Terms & Conditions (“TAC” or “Agreement”) are entered into by and between you (the “Participant” ) and Open Lotus Productions (“Company”) for the Life Purpose Discovery Experience (“Workshop”) with life coach Stacy Zemon (“Coach” or “Coaching.”)

1) Fee & Refund Policy
This Agreement is valid as of the date Participant pays for the Workshop by credit card, debit card, or through PayPal or Venmo. Payments and down payments are non-refundable, and the Workshop is non-transferable.

2) Coach-Participant Relationship
Coaching is a partnership (defined as an alliance, not a legal business partnership) between the Coach and the Participant in a process that empowers the individual to manifest her or his Life Purpose.
a. Participant is solely responsible for her or his own physical, mental, and emotional well-being, decisions, choices, actions, and results arising out of or resulting from their interactions with the Coach or with the Workshop speakers. As such, Participant agrees that the Coach, Company, and speakers are not and shall not be liable or responsible for any actions or inactions or for any direct or indirect results personally obtained by attending the Workshop.
b. Participant acknowledges that the Workshop content may involve different areas of life, including but not limited to spirituality, personal development, work, career, finances, health, and relationships. Participant agrees that incorporating coaching suggestions or feedback into those areas is exclusively her or his own choice.

3) Limited Liability
Except as expressly provided in these TAC, the Coach makes no guarantees, representations, or warranties of any kind or nature, express or implied, with respect to the Workshop. In no event shall the Coach, Company, or speakers be liable to the Participant for any indirect, consequential or special damages. Notwithstanding any damages that the Participant may incur, the Coach’s entire liability under this Agreement, and the Participant exclusive remedy, shall be limited to the amount actually paid by the Participant for this Workshop under this Agreement.

4) Severability
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.

5) Dispute Resolution
In the event an unresolved dispute arises between the Company and Participant, it is hereby agreed that the dispute shall be referred to the United States Arbitration and Mediation for arbitration in accordance their rules. The arbitrator’s decision shall be final and binding, and judgment may be entered thereon. In the event a party fails to proceed with arbitration, unsuccessfully challenges the arbitrator’s award, or fails to comply with the arbitrator’s award, the other party is entitled to costs of suit, including a reasonable attorney’s fee for having to compel arbitration or defend or enforce the award.

6) Waiver
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with any provision of these TAC.

7) Applicable Law
This Agreement shall be governed and construed in accordance with the laws of the state of New Jersey, without giving effect to any conflict of law provisions.

8) Entire Agreement
This document reflects the entire agreement between the Company, Coach and the Participant, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. This Agreement may not be amended, altered, or supplemented except in writing by the Coach.
